My only critique would have to be that the unit sizes are a bit too small for a vampire count army, try boosting the numbers for your zombie units.. and maybe spending less on your characters like thats nearly 800 points tied up in characters..

Will your opponent be fielding Cold One Knights? If so, then I might suggest switching your Count's Sword of Striking for a Sword of Might (which is cheaper) or a Biting Blade (which is infinitely cheaper). Both will pretty much have the same armour-negating modifiers on Cold One Knights and Chariots.
ALSO: you can't have a mounted model with two hand weapons. It's illegal (see the red book if you don't believe me). Switch them for a great weapon or shield for your Thrall.

I made some changes to the list, from what I hear of my opponent likes to go magic and shooting heavy and I think he takes cold one knights to.
Would you guys advise any other changes?

Other than giving your Count a Sword of Might/Biting Blade (for knight-busting) and/or Wristbands of Black Gold (in case he finds himself alone and facing a wall of RBTS), I'd say you've got a pretty good list there.

Its quite normal to spend anywhere from 1/4 to a little over a 1/3rd of your army points on characters in a VC army.
I like your second list much better but some things i would suggest.
drop your ghouls to units of 6-7- this is a good size for ghouls and will free up points else where
drop the banner from the black knights...they are not a main combat unit in this army and should drop the banner to take away the risk of giving your opponent an additional 100vps
i personally do not like the black coach and feel the points can be better spent beefing up units like your black knights or move some other points around to add the grave gaurd back in.

Against Dark Elves Id keep it. (Not only because I love it! :wub: )
Dark Elves have no (or almost no) access to S7, neither in the shooting, magic or close combat phase. In fact, DE rely on their high number of attacks they get with most units, but with few exceptions the attacks are at low strength. That means that unless your opponent uses a dragon he will find it very hard to deal with the extremely tough Black Coach (T6, 4+ AS and 5+ ward is something that has to be passed).
Furthermore, Elves all have T3 and a usually a low armour save. Perfect for the S5 of the coach! By doing lots of damage itself it will gain even more wounds and get harder and harder to destroy.

I dont have the Dark Elf book at home. I couldnt think of a way for them to get S7, but thats why I added "almost no" to my statement. ;)
